Dukaan Babu Shop Terms

Version 0.2-draft. In force from DUMMY — date these pages take effect (YYYY-MM-DD). Last updated 2026-10-08.

In short

These Shop Terms are a written agreement between you, the shop owner ("you", "the shop"), and DUMMY — Legal name of the business that runs Dukaan Babu (DUMMY — Sole proprietorship, LLP or private limited company), DUMMY — Full postal address with PIN code ("we", "us"). Our Terms of Use also apply to you as a user. These Shop Terms apply while your shop is listed on Dukaan Babu.

You must be 18 or older and able to make a binding contract under Indian law.

1. Our roles

1.1. You are the seller. You own your goods. You decide what to sell, set every price, and deliver or hand over the goods.

1.2. We only connect. We list your shop, show your goods and prices, and pass orders and messages between you and your customers.

1.3. We do not buy or sell goods, set prices, deliver, collect money or give refunds.

1.4. The contract of sale is between you and the customer. You are responsible to the customer for the goods and the sale.

2. Prices, payment, bills and refunds

2.1. You set and update your own prices. We never change them. An order is priced from the prices you saved in the app.

2.2. The customer pays you directly, by UPI to your own UPI ID or in cash. We never receive or hold this money.

2.3. Your UPI ID is shown to everyone who opens your shop page, so that customers can pay you. Keep it correct.

2.4. Never ask a customer to pay Dukaan Babu, or anyone else on your behalf.

2.5. If the law or the customer needs a bill or receipt, you issue it in your own name, never in the name of Dukaan Babu.

2.6. You handle returns, replacements and refunds.

2.7. Your delivery charge, minimum order and free-delivery level are your own. Show them truthfully in the app, together with your return, refund and exchange rules.

2.8. Discounts and old prices. Do not raise a price only to show a fake discount. From 1 January 2027, when the app shows a price drop, the "before" price must be the lowest price of the last 30 days.

3. Orders and delivery

3.1. Accept or refuse each new order quickly.

3.2. You may refuse an order that is still "placed". You may cancel an order that is not yet finished, but tell the customer why in the app.

3.3. If an item is not available, change the order or offer a substitute in the app. The customer decides.

3.4. You choose your delivery area and delivery time. When we approve your shop we may fill in a starting value (0.2 to 3 km) as a default; you can change it at once, within the app's limit.

3.5. A customer can report a problem until 48 hours after delivery. Answer it in good faith and settle it fairly.

4. Your licences, taxes and legal duties

4.1. You alone must hold, and keep valid, every licence and registration your business needs. For example:

4.2. You pay your own taxes on your own sales.

4.3. FSSAI. FSSAI has issued a Direction for online food platforms, based on draft rules, and says it will enforce it after the final rules are published. If such a rule takes effect, we may ask for your FSSAI number, show it in the app, ask for photos of food labels, and remove food listings that do not follow the rule. You agree to cooperate.

4.4. On request, give us a copy or the number of any licence or registration that relates to what you list.

5. Accurate listings (your undertaking)

5.1. You undertake that everything you list is true, accurate and not misleading: names, descriptions, photos, prices, sizes, stock and offers.

5.2. A photo must show the real item you sell. If you pick an item from our catalogue, check that its name, size and picture match your goods; if they do not, change it or remove it.

5.3. Packed goods. For goods sold in a sealed pack, the customer must be able to see the details printed on the pack:

5.4. Until the app has fields for these details, write them in the product description. Before Dukaan Babu opens to the public, the MRP and a photo of the pack label will be required for every packed item.

5.5. Never charge more than the MRP for a packed item.

5.6. Never sell food after its use-by date, or a medicine after its expiry date.

6. Goods you must not list

6.1. Do not list, show, offer or promote any of these on Dukaan Babu:

6.2. We may update this list in the app. The new list applies from the day it is shown.

7. Details shown to customers

7.1. Before they order, customers see your shop name, the owner's name, your photos and your place on the map. You agree that we also give a customer who asks your shop's address, whether your business is registered, and your delivery, return and refund rules. When the shop page can show these details, it will show them there.

7.2. After a customer orders from you, we show that customer your shop phone number. We plan to show it before an order too, behind a "Call shop" button; we will update this section before we do.

7.3. From 1 January 2027 give us your GSTIN, or your Udyam (MSME) number, or another business identification number such as your PAN, or tell us you have none. Keep these details correct.

7.4. Your application proof photo (shop board or trade licence) is used only to check your shop. It is never shown to customers.

8. Customer data

8.1. Data we control. For accounts, orders, chat and the app itself, we decide how data is used, as our Privacy Policy explains.

8.2. Data we handle for you. If a feature ever stores a business record that is yours alone, we act for you as your data processor under this agreement (Digital Personal Data Protection Act 2023, section 8(2)).

8.3. For that data we will:

8.4. Your duties. For any customer data you see:

8.5. We never show you a customer's mobile number. Do not try to get it in order to move a customer off the app against their wish.

9. Fees

9.1. Dukaan Babu charges shops no fee. There is no commission, no listing fee and no payment fee. No shop pays us for any plan. Our staff console has a "Plus" marker. It costs nothing, gives a shop nothing and is not shown to customers; we will remove it from the console.

9.2. Sponsored. We may mark a shop as "Sponsored". A Sponsored shop that delivers to a customer appears above other shops that deliver to that customer in the nearby list. It is always labelled "Sponsored" and it does not change search results. No shop pays for this today.

9.3. We will start a fee or a paid plan only under new written terms, with at least 30 days' notice and your express agreement. A fee is never charged without your agreement.

10. Complaints, takedown and suspension

10.1. Your grievance officer. You are your shop's grievance officer, unless you name another person to us. Answer customer complaints yourself, through the app chat or the contact you give us, and resolve them within one month.

10.2. Takedown. We may remove or hide a listing, a photo or a message, or limit your shop:

10.3. Where it is lawful we tell you the reason. You can reply to DUMMY — grievance email (mailbox not created yet), and we review your reply.

10.4. Listing again. If you list an item again after we removed it, we record this and may suspend your shop.

10.5. Suspension and removal. We may suspend or remove your shop:

10.6. You can switch your shop to closed at any time in My shop, or delete your account, which also takes your shop off the app. Before you do, settle or cancel open orders and settle any money owed with your customers.

10.7. We keep the record of removed content and closed shops for at least 180 days, or longer if the law requires.

11. Indemnity and liability

11.1. You will make good any loss, fine or reasonable legal cost we suffer because of:

11.2. 11.1 does not apply to the extent the loss was caused by our own fault.

11.3. We will tell you promptly of any such claim and let you take part in the defence.

11.4. Our total liability to you under these terms is limited to DUMMY — cap on our liability to a shop, e.g. INR 1,000 (owner to decide), except for our fraud, negligence in protecting personal data, wilful misconduct, or where the law does not allow a limit.

11.5. We do not promise any number of orders or customers.

12. Our catalogue

12.1. We offer a catalogue of common product names and pictures to save you time. A catalogue item is only a suggestion.

12.2. You remain responsible for checking that a catalogue item matches your goods (section 5.2) and that you may sell it (sections 4 and 6).

13. General

13.1. Indian law governs these terms. The courts at DUMMY — city whose courts hear disputes have jurisdiction.

13.2. We may change these terms. We tell you in the app at least 15 days before an important change takes effect, unless the law needs a faster change. If you do not agree, you can close your shop before the change takes effect.

13.3. Notices to us go to DUMMY — legal-notice email (mailbox not created yet) or DUMMY — Full postal address with PIN code. Notices to you go through the app or to your shop phone.

13.4. If one part of these terms is invalid, the rest stays in force.
